Terms and Conditions and Privacy Notice
InstaKlozer · De Lima Financial Group · Effective October 14, 2026
PLEASE READ THIS DOCUMENT CAREFULLY. BY CONTINUING, THE USER ACCEPTS THESE TERMS, INCLUDING THE LIMITATIONS OF LIABILITY, THE INDEMNIFICATION, AND THE WAIVER OF CLASS ACTIONS.
1. Acceptance of Terms
By logging in, accessing, or continuing to use InstaKlozer (the “Platform”), operated by De Lima Financial Group (“DLFG,” “we,” “us”), the User declares that they have read, understood, and accepted these Terms and Conditions and the Privacy Notice contained in this document. If you do not agree, you must refrain from using the Platform.
Continuing to use the Platform constitutes binding electronic acceptance, with the same validity as a handwritten signature, in accordance with applicable electronic signature and records laws (including E-SIGN and UETA).
DLFG may modify these terms at any time. The current version is the one published on the Platform; continued use after a modification constitutes acceptance.
2. Definitions
“User”: any person who accesses the Platform, including agents, leaders, administrators, and anyone authorized by DLFG. “Client Data”: all personal, financial, health, contact, or other information relating to clients, prospects, applicants, or third parties that the User or DLFG enters, uploads, imports, or generates on the Platform. “Third-Party Services”: providers of infrastructure, database, hosting, telephony, messaging, email, maps, payments, artificial intelligence, call recording, and any other external service connected to the Platform.
3. Nature of the Platform and Permitted Use
The Platform is a technology tool for client management, sales tracking, scripts, documents, and communications for insurance agents. It does not provide legal, tax, financial, medical, or insurance advice and does not replace the User’s professional judgment, license, or regulatory obligations.
Access is personal and non-transferable, limited to legitimate business purposes related to the User’s activity with DLFG, and may be suspended, restricted, or terminated by DLFG at any time, with or without cause and without prior notice.
The following is prohibited: sharing your password or session; accessing data that does not belong to you; mass extracting, copying, or exporting data without authorization; using bots or scrapers; attempting to breach, probe, or circumvent security measures; introducing malicious code; reselling or sublicensing access; and using the Platform for unlawful, fraudulent, or deceptive purposes.
4. Information Security
DLFG applies reasonable technical and organizational measures to protect the Platform and Client Data, including: encrypted transmission via HTTPS/TLS; encryption at rest provided by our database and storage providers’ infrastructure; storage of access keys only as salted hashes (not in readable text); per-user and role-based access control with row-level security policies in the database; expiring sessions; limits on login attempts; restriction of sensitive functions to controlled server procedures; and activity logging.
The User acknowledges and agrees that no system, network, device, or method of electronic transmission or storage is completely secure, and that DLFG does not and cannot guarantee absolute security or the absence of interruptions, errors, unauthorized access, or loss or disclosure of information.
Encryption and the other measures described are mitigation measures and not a guarantee of results. Referring to them creates no obligation to maintain any specific measure, and DLFG may modify or replace them at any time.
5. User Responsibilities for Security and Data
The User is solely responsible for: (a) safeguarding their password, email, device, and biometric credentials; (b) all activity performed with their account; (c) keeping their devices, browsers, and networks updated and protected (antivirus, screen lock, no unsecured public WiFi); (d) logging out on shared computers; (e) not capturing, photographing, downloading, emailing, messaging, posting on social media, or printing Client Data outside authorized purposes; and (f) immediately notifying DLFG of any suspected unauthorized access, lost device, or security incident.
Any leak, disclosure, loss, or misuse of Client Data originating from the conduct, negligence, device, network, credentials, or account of the User, or of persons to whom the User has given access, is the User’s sole responsibility.
The User is responsible for the accuracy, legality, and lawfulness of the Client Data they enter, and for having the client’s necessary consent, authorization, and legal basis to collect, store, and process it, including for calls, text messages, recordings, email, and any commercial contact.
6. User Regulatory Compliance
The User is responsible for complying with all regulations that apply to them as an insurance producer or agent and as a person who processes data, including, as applicable: state insurance and licensing laws and regulations; the Gramm-Leach-Bliley Act and financial information protection rules; the TCPA and rules on commercial calls and texts, including do-not-call lists and prior consent; Medicare and CMS marketing rules; HIPAA where applicable; call recording and one-party/all-party consent laws; state privacy and breach notification laws; and the policies of the carriers the User works with.
DLFG assumes no responsibility for the User’s noncompliance with those rules, nor for any penalties, fines, claims, or losses arising from it.
7. Client Data: Processing, Purpose, and Ownership
Client Data is processed to operate the Platform, manage the business relationship, track sales and services, comply with legal obligations, prevent fraud, provide support, improve the Platform, and protect DLFG’s rights.
The User grants DLFG a limited, worldwide, non-exclusive license to store, process, transmit, back up, and display Client Data for those purposes, and to share it with the Third-Party Services strictly necessary to operate the Platform.
DLFG does not sell Client Data. It may disclose it when required by law, court order, or a competent authority, or when necessary to protect the rights, safety, or property of DLFG, Users, or third parties.
Data is retained for as long as necessary for the stated purposes and legal obligations; DLFG may delete, anonymize, or archive data according to its policies, with no obligation to keep it indefinitely. The User is responsible for keeping their own copies of any information they consider essential.
8. Third-Party Services
The Platform depends on Third-Party Services (for example, database and hosting providers, telephony and call recording, maps and address autocomplete, payments, email and messaging, file storage, and artificial intelligence for summaries and transcripts). Each operates under its own terms and privacy policies.
DLFG does not control or guarantee the availability, security, accuracy, or data handling of those third parties, and is not responsible for their failures, outages, security breaches, price or term changes, or their acts or omissions. By using features that involve them, the User agrees that the necessary data will be transmitted to them.
Transcripts, summaries, and analyses generated by artificial intelligence or automation may contain errors or omissions and must be verified by the User before being relied upon.
9. Security Incidents
In the event of a confirmed security incident affecting Client Data, DLFG will make the notifications required by applicable law, within the timeframes and in the manner legally prescribed, and will take reasonable containment and investigation measures. These legal obligations cannot be waived and will be fulfilled to the extent they apply.
Beyond what the law requires, DLFG assumes no liability for direct, indirect, incidental, special, consequential, punitive, or any other damages arising from unauthorized access, leaks, disclosure, loss, alteration, or theft of data, even when caused by acts of third parties, cyberattacks, malware, ransomware, social engineering, provider failures, human error, or events beyond its reasonable control.
The User agrees to cooperate with DLFG in investigating and mitigating any incident, and not to make public statements or statements to clients about a Platform incident without prior coordination with DLFG, except where the law directly requires it.
10. Disclaimer of Warranties
The Platform is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, DLFG disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, uninterrupted availability, freedom from errors or viruses, and absolute security.
DLFG does not guarantee sales results, policy approvals, commissions, lead quality, or that scripts, templates, quotes, calculations, reminders, or automations are accurate, complete, or suitable for a specific case. Scripts and materials are for support only and do not constitute legal or regulatory advice.
11. Limitation of Liability
To the maximum extent permitted by law, DLFG, its owners, officers, employees, agents, affiliates, suppliers, and licensors shall not be liable for direct, indirect, incidental, special, exemplary, consequential, or punitive damages, or for loss of data, revenue, profits, clients, opportunities, reputation, or use, or for substitution costs, arising from the use of or inability to use the Platform, even if advised of the possibility of such damages and regardless of the legal theory invoked (contract, tort, negligence, strict liability, or otherwise).
If, notwithstanding the above, DLFG is found to have any liability, it shall be limited in total to the lesser of the amount actually paid by the User to DLFG for use of the Platform in the three (3) months preceding the event giving rise to the claim and one hundred U.S. dollars (US$100).
Some jurisdictions do not allow certain exclusions or limitations; in that case, they apply only to the maximum extent permitted by law, and the rest of these terms remain in force.
12. Indemnification
The User agrees to defend, indemnify, and hold harmless DLFG, its owners, officers, employees, agents, affiliates, and suppliers from any claim, demand, damage, loss, fine, penalty, cost, and expense (including reasonable attorneys’ fees) arising from: (a) the User’s use of the Platform; (b) breach of these terms or of the law; (c) the Client Data they enter or process; (d) any leak or misuse attributable to their conduct, account, credentials, or devices; (e) the lack of client consents or authorizations; and (f) violation of third-party rights.
13. Claims by Clients and Third Parties
Clients and third parties whose data is stored on the Platform are not clients of the Platform as a technology product. Any claim by a client or third party relating to a User’s handling of their data will be directed first against that User, who will answer for it under these terms.
The User undertakes to give clients the privacy notices and consents required by law and by carriers, and to promptly handle their requests for access, correction, or deletion, informing DLFG when actions on the Platform are required.
14. Availability, Maintenance, and Backups
DLFG may suspend, modify, limit, or discontinue the Platform or any of its features, temporarily or permanently, for maintenance, security, updates, legal requirements, third-party failures, or any other reason. DLFG does not guarantee minimum uptime or recovery of lost information and is not obligated to maintain backups for the User.
15. Intellectual Property and Confidentiality
The Platform, its code, design, trademarks, names, scripts, processes, structures, and content are the property of DLFG or its licensors and are protected by intellectual property laws. No right is granted other than the limited, revocable, non-transferable use described here.
The User may not copy, decompile, reverse engineer, reproduce, distribute, or create derivative works of the Platform or its scripts and materials. All non-public information of DLFG, including processes, pricing, commissions, scripts, strategies, and lead lists, is confidential and may not be disclosed to third parties, during or after the relationship.
16. Termination
DLFG may suspend or cancel access at any time. Provisions that by their nature should survive (security and User responsibilities, disclaimer of warranties, limitation of liability, indemnification, confidentiality, intellectual property, governing law, and dispute resolution) will remain in force after termination. Upon termination, the User must stop using the Platform and must not keep or use Client Data obtained through it, except as required by law.
17. Governing Law and Dispute Resolution
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute will be submitted to the exclusive jurisdiction of the state and federal courts located in Florida, and the User waives objections of venue or jurisdiction, unless DLFG expressly elects another mechanism in writing.
To the maximum extent permitted by law, the User agrees to resolve any dispute on an individual basis and waives participation in class, collective, or representative actions against DLFG. Any claim must be filed within one (1) year of the event giving rise to it; otherwise it is barred.
18. General Provisions
Severability: if any provision is held invalid or unenforceable, it will apply to the maximum extent permitted and the others remain in force. No waiver: DLFG’s failure to exercise a right is not a waiver. Assignment: DLFG may assign these terms; the User may not without written authorization. Entire agreement: these terms supersede any prior agreement on the same subject. Force majeure: DLFG is not liable for failures due to causes beyond its reasonable control, including power or internet outages, provider failures, cyberattacks, disasters, government acts, or pandemics. Language: in case of discrepancy between translations, the Spanish version published on the Platform prevails.
19. Pre-Application and Applicant Data
The Pre-Application is a form used to capture an applicant’s information (for example: name, phone, address, date of birth, occupation, approximate income, height and weight, identification, emergency contact, beneficiaries, health habits, and declared medical conditions) in order to prepare a life insurance application. It is a data-collection instrument and does not constitute a submitted application, an offer, a policy, coverage, or a guarantee of approval. Coverage exists only when the carrier approves and issues it in writing.
Whoever completes or allows the Pre-Application to be completed (the User and/or the applicant) declares that the data is truthful, complete, and accurate, and that they are authorized to provide it. False, incomplete, or omitted statements may result in denial, cancellation, or rescission of the policy, loss of benefits, and legal liability, without any responsibility for DLFG.
The applicant authorizes their data, including health and financial data, to be processed by the agent, by DLFG, and by the carriers, agencies, and providers necessary to evaluate, process, and issue the application, and to be contacted by phone, text message, and email in connection with it. The User is responsible for obtaining and keeping this consent before capturing the data.
The form states that, upon submitting the application, the data is deleted from the Platform’s servers. This does not affect copies already transmitted by email or other means to the agent, carriers, or other recipients, which remain under the control and responsibility of those who receive them. Email and other transmission channels are not completely secure.
We recommend not capturing Social Security numbers, bank details, or card numbers in free-text fields of the Pre-Application. DLFG is not responsible for sensitive information that the User or the applicant chooses to enter or transmit through those means.
20. Contact
For questions about these terms, data-related requests, or reports of security incidents, the User should contact De Lima Financial Group through its official contact and support channels.
